These Terms and Conditions (“Terms”) govern access to and use of the DinePro platform, available at scantodinepro.com and app.scantodinepro.com (the “Service”), operated by Akhtar’s IT Solutions (“AKITS”, “we”, “us”, “our”), based in Rawalpindi, Punjab, Pakistan. By creating an account, subscribing to a plan, or otherwise using the Service, you (“Customer”, “you”, “your”) agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Description of Service

DinePro is a restaurant order-management platform that provides QR-code self-ordering, point-of-sale (POS) tools, table reservation management, menu management, billing, and reporting/analytics features for restaurants, cafés, and similar food-service businesses (“Restaurant Customers”).

2. Eligibility and Account Registration

• You must be at least 18 years old and have the legal authority to bind your business to these Terms.
• You agree to provide accurate, current, and complete information during registration and to keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us promptly at the contact details in Section 16 if you suspect unauthorized use of your account.

3. Subscription Plans, Fees, and Billing

• DinePro offers subscription tiers (including Starter, Plus, and Pro) billed on a monthly or annual per-seat basis, as described at scantodinepro.com/pricing, which may be updated from time to time.
• Free trials, where offered, convert to a paid subscription automatically at the end of the trial period unless cancelled beforehand, in accordance with the specific trial terms presented at signup.
• Payments are processed by third-party payment processors (such as Stripe, PayFast, or JazzCash). By providing payment information, you authorize us and our payment processor to charge applicable fees to your chosen payment method.
• Except where required by law or expressly stated otherwise, fees are non-refundable. Failure to pay may result in suspension or termination of your access to the Service.
• We may change pricing with reasonable advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
• Upload content that is false, misleading, defamatory, infringing, obscene, or that violates the rights of any third party.
• Attempt to gain unauthorized access to the Service, other accounts, or underlying systems or networks.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
• Use automated means (bots, scrapers) to access the Service without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service, including through the introduction of malware.
• Resell, sublicense, or white-label the Service without a separate written agreement with us.

5. Diner-Facing Ordering and Reservations

Restaurant Customers are solely responsible for the accuracy of menu items, pricing, descriptions (including allergen and dietary information), and availability displayed to diners through the Service. AKITS provides the technology platform and is not responsible for the preparation, quality, safety, or fulfillment of food orders, which remains the sole responsibility of the Restaurant Customer.

6. Payment Processing and Restaurant Obligations

• DinePro subscription fees are processed by our payment processor, Stripe, a PCI-DSS-compliant provider. AKITS does not store full payment card details.
• Payments made by diners directly to a Restaurant Customer (cash, card, or wallet at the point of sale) are handled through the Restaurant Customer’s own payment arrangements and are not processed by DinePro or Stripe on the Restaurant Customer’s behalf, unless and until DinePro formally launches an integrated diner-payment feature, at which point this section will be updated to reflect it.
• Restaurant Customers are responsible for complying with applicable tax, consumer protection, and payment card industry obligations relevant to their own business operations.
• Disputes regarding a diner’s payment or order should first be resolved directly between the Restaurant Customer and the diner; AKITS is not a party to that underlying transaction.

7. Intellectual Property

• The Service, including its software, design, trademarks (including “DinePro”), and underlying technology, is owned by AKITS or its licensors and is protected by applicable intellectual property laws.
• Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
• You retain ownership of the content you upload (menus, images, business data), and you grant AKITS a limited license to host, display, and process that content solely as necessary to provide the Service.

8. Data Protection and Privacy

Our collection and use of personal data in connection with the Service is described in our Privacy Policy, available at scantodinepro.com, which is incorporated into these Terms by reference. Where a Restaurant Customer’s diners are located in the EU/UK or other jurisdictions with data protection laws, the Restaurant Customer is responsible for ensuring it has a lawful basis to collect and share diner data with AKITS for processing via the Service. AKITS processes such data as a processor in accordance with applicable law and our Data Processing Agreement (“DPA”), which is incorporated into these Terms by reference, forms part of every Restaurant Customer agreement, and is available at scantodinepro.com/dpa or on request.

9. Third-Party Services

The Service integrates with or links to the following third-party services: Stripe (subscription payment processing), Google Analytics, and Meta Pixel (site analytics and marketing measurement). Your use of, or exposure to, these third-party services is governed by their respective terms and privacy policies, and AKITS is not responsible for their acts or omissions. We will update this section if we add or remove a third-party integration.

10. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service, temporarily or permanently, with reasonable notice where practicable, for reasons including maintenance, security, or business needs.

11. Term, Suspension, and Termination

• These Terms remain in effect for as long as you maintain an account or subscription with DinePro.
• We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, engage in fraudulent or unlawful conduct, or fail to pay applicable fees.
• You may cancel your subscription at any time in accordance with the cancellation process described in your account settings; cancellation takes effect at the end of the then-current billing period unless otherwise stated.
• Upon termination, your right to access the Service ceases, though provisions of these Terms that by their nature should survive (including Sections 7, 8, 12, 13, and 15) will continue to apply.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THIS SECTION LIMITS ANY STATUTORY RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED IN YOUR JURISDICTION.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AKITS AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO AKITS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS SECTION DOES NOT LIMIT LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR OTHER LIABILITY THAT CANNOT BE LIMITED BY LAW.

14. Indemnification

You agree to indemnify and hold harmless AKITS, its officers, employees, and affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including your diners.

15. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws principles, except where mandatory local consumer-protection laws of your country of residence (such as EU/UK consumer law) provide otherwise and cannot be excluded.
• Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
• If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts of Rawalpindi/Islamabad, Pakistan, unless applicable law grants you the right to bring proceedings in your own jurisdiction.

17. Changes to These Terms

We may revise these Terms from time to time. Material changes will be notified via email or in-app notice with reasonable advance notice before taking effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance of those Terms.

18. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any order form or plan-specific terms, constitute the entire agreement between you and AKITS regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control.
